Halo of Voices

Terms of Service

Last Updated: [Month Day, Year]

Welcome to Halo of Voices.

These Terms of Service (“Terms”) govern your access to and use of Halo of Voices, including the Halo of Voices website, application, and related services (collectively referred to in these Terms as “Halo”).

These Terms of Service (“Terms”) govern your access
to and use of Halo of Voices, including the Halo of
Voices website, application, and related services
(collectively referred to in these Terms as “Halo”).

By creating an account, joining or creating a Halo, or otherwise using the service, you agree to these Terms.

If you do not agree to these Terms, do not use Halo.

1. What Halo of Voices Is

Halo of Voices is a private voice-memory platform designed to help families and the people they love record, preserve, organize, share, and experience real voices.

Halo may include features such as:

  • voice recording;
  • importing audio from supported recordings or videos;
  • private family Halos;
  • Libraries;
  • playlists and favorites;
  • the Listening Room;
  • Vault memories;
  • invitations;
  • family activity;
  • member management; and
  • other features we may introduce over time.

Halo is not a public social network and is not intended to provide public distribution of user content.

2. Your Account

You may need an account to use Halo.

You agree to provide accurate information when creating and maintaining your account and to keep your login credentials secure.

You are responsible for activity occurring through your account unless that activity results from circumstances for which you are not reasonably responsible.

If you believe your account has been accessed without authorization, contact Halo promptly.

You may not impersonate another person, create an account using information you are not authorized to use, or intentionally provide false information in order to gain unauthorized access to a Halo.

3. Halos

A Halo is a private shared space for its authorized members.

Each Halo has a Keeper who has additional administrative responsibilities and permissions.

Depending on the features available, the Keeper may be able to:

  • invite members;
  • manage members;
  • manage certain Halo settings;
  • administer the Halo's membership;
  • manage certain shared content or permissions; and
  • transfer the Keeper role to another eligible member.

Other members may have different permissions.

Joining a Halo does not give a member ownership of every recording or other piece of content within that Halo.

Top

4. Keeper Responsibility

The Keeper plays an important role in administering a Halo.

If you are the Keeper, you agree to exercise those permissions responsibly and only for legitimate purposes related to the Halo.

A Keeper may transfer the Keeper role using Halo's available features. Once a transfer is completed, the new Keeper may receive the administrative permissions associated with that role.

Halo is not responsible for disputes among family members or other Halo participants concerning who should serve as Keeper, who should remain a member, or how members choose to organize their shared Halo, except where Halo's own legal obligations require action.

5. Invitations

Halo allows authorized users to invite other people into a Halo.

Invitation codes or other invitation credentials should only be shared with the intended recipient.

You may not:

  • knowingly use an invitation intended for someone else;
  • sell invitation codes;
  • publish private invitation credentials for unauthorized access;
  • attempt to bypass Halo's invitation system; or
  • use invitations to gain unauthorized access to another Halo.

Halo may invalidate invitations when reasonably necessary to protect accounts, users, or the service.

6. Your Content

You retain the rights you have in voice recordings and other content you submit to Halo (“Your Content”).

You do not transfer ownership of Your Content to Halo simply by using the service.

However, Halo needs permission to process Your Content in order to provide the service.

You therefore grant Halo a limited, non-exclusive license to host, store, process, reproduce, transmit, and make Your Content available to authorized users solely as reasonably necessary to operate, secure, maintain, and provide Halo and its features.

This license does not give Halo permission to sell your voice recordings or use them to create artificial or cloned voices.

The license ends when the applicable content is deleted from Halo and no longer needs to be retained for legitimate backup, security, legal, or operational purposes.

7. Recording and Uploading Other People's Voices

This is important.

Halo lets users preserve real voices. That means a recording may contain the voice of someone other than the person uploading it.

By recording, uploading, importing, or sharing content through Halo, you represent that you have the rights, permissions, or other lawful basis necessary to do so.

You are responsible for complying with applicable laws concerning recording conversations, consent, privacy, intellectual property, and the use of another person's voice.

Recording-consent laws can vary by location and circumstance. Halo cannot determine whether a particular recording is lawful for you to make or upload.

Do not secretly record someone when doing so would violate applicable law.

Top

8. Imported Recordings and Videos

Halo may allow you to import existing audio or extract audio from supported video files.

When Halo extracts audio from a video, Halo is designed to retain the supported audio content needed for the voice memory rather than operate as a video-storage service.

You are responsible for ensuring you have the right to upload and use the source material.

Do not upload copyrighted recordings, videos, music, broadcasts, or other material unless you have the necessary rights or permission.

Top

9. Sharing Within a Halo

Content placed in a Halo may be accessible to other authorized members according to Halo's features, permissions, and the choices made by users.

Before adding content, consider whether it is appropriate to share that content with the people who may be able to access it.

Halo is designed to restrict access to authorized users, but once another person legitimately hears information or content, Halo cannot control what that person remembers, independently records, communicates, or does outside the service.

Users are expected to respect the privacy of other Halo members and the people whose voices appear in Halo.

Top

10. The Vault

The Vault allows certain voice memories to be intentionally held for a future time rather than immediately made available.

Depending on the features available, a creator may select a release date, recipient, visibility setting, or other release condition supported by Halo.

Until the applicable release condition is satisfied, the recording may remain unavailable to its intended recipient.

You understand that technology cannot guarantee that every future release will occur at an exact moment under every circumstance. Service outages, account issues, legal requirements, technical failures, or other events may delay or prevent access.

Halo will use reasonable efforts to operate Vault features according to the choices made through the service.

Top

11. Listening Room

The Listening Room is an experiential playback feature for voice memories.

Its visual presentation may respond to the audio being played.

The Listening Room does not change ownership of a recording or expand who is authorized to access it.

Top

12. Acceptable Use

You may not use Halo to:

  • violate applicable law;
  • violate another person's privacy or intellectual-property rights;
  • harass, threaten, exploit, or abuse another person;
  • gain unauthorized access to another account or Halo;
  • circumvent access controls, invitations, membership restrictions, or security systems;
  • upload malware or malicious code;
  • intentionally disrupt or overload the service;
  • probe or attack Halo's infrastructure without authorization;
  • scrape or systematically extract information from the service;
  • resell access to Halo without authorization;
  • falsely impersonate another person;
  • use Halo to distribute unlawful content; or
  • use voice recordings from Halo to create deceptive impersonations or unauthorized artificial voice reproductions.

We may restrict or suspend access when reasonably necessary to investigate or prevent misuse, protect users, protect Halo, or comply with law.

Top

13. Real Voices and Artificial Voice Generation

Halo of Voices is built around real voice memories.

Halo does not provide a feature that turns a person's stored voice memories into an artificial clone of that person's voice.

You may not use Halo's service to obtain voice content for unauthorized impersonation, fraud, deception, or unlawful voice cloning.

Top

14. Memberships

Certain Halo features or capacities may require a paid membership.

Membership options may vary in price, storage capacity, listening capacity, or other limits disclosed when the membership is offered.

Unless otherwise stated, Halo's membership is associated with the applicable Halo rather than requiring every invited family member to purchase an individual membership.

Current membership details will be presented before purchase.

Top

15. Free Trials

Halo may offer eligible users or Halos a free trial.

Current intended trial terms include:

  • 14-day trial period;
  • up to 2 stored hours of voice memories;
  • up to 4 hours of family listening during the trial;
  • full Halo features during the trial, subject to applicable limits; and
  • unlimited invited family members.

A particular Halo may receive a maximum of one free trial.

Additional eligibility restrictions may apply, including limits on how frequently an individual account may initiate trials for newly created Halos.

Reaching a trial storage limit does not automatically remove existing voice memories. Further recording or storage may require starting a paid membership.

The specific terms displayed when a trial begins will govern that trial.

Top

16. Paid Plans

Halo may offer membership plans such as:

Halo Glint

Halo Spark

Halo Glow

Halo Shine

Prices, storage limits, listening allowances, billing periods, and other plan details will be shown at the time of purchase.

Halo may change the plans offered to new customers in the future. Changes to existing paid memberships will be handled in accordance with applicable law and the terms presented to affected members.

Top

17. Payments

When paid memberships become available, payments may be processed by a third-party payment provider.

Halo may not directly receive or store complete payment-card information when payment information is collected by that provider.

You agree to provide accurate billing information and authorize applicable charges for memberships you purchase.

Additional payment-provider terms may apply.

Top

18. Renewals and Cancellation

If a membership is sold as automatically renewing, it will renew according to the billing period disclosed at purchase unless canceled in accordance with the cancellation instructions provided by Halo.

Before paid memberships launch, Halo will provide the final cancellation, renewal, downgrade, upgrade, refund, and post-cancellation access rules applicable to those memberships.

Those rules must be finalized before this section is published commercially.

Top

19. Storage and Listening Limits

Memberships may include limits on stored voice-memory hours and family listening hours.

Storage capacity refers to the amount of voice-memory content that may be maintained within the Halo under the applicable plan.

Listening allowances may reset according to the applicable billing period.

Halo may provide usage information to help Keepers understand the Halo's current capacity and listening usage.

If a limit is reached, certain actions may be restricted until usage resets, capacity is increased, content is removed, or the Halo moves to another available membership plan.

Top

20. Service Changes

Halo will continue to evolve.

We may add, modify, improve, or discontinue features when reasonably necessary to operate and develop the service.

We will not intentionally make material changes to paid services in a manner inconsistent with applicable consumer-protection requirements.

Top

21. Availability

We work to keep Halo available and reliable, but we cannot guarantee uninterrupted or error-free operation.

Halo may occasionally be unavailable because of:

  • maintenance;
  • software updates;
  • hosting or infrastructure failures;
  • internet outages;
  • security incidents;
  • third-party service failures; or
  • circumstances outside our reasonable control.

Temporary unavailability does not mean your account or Halo has necessarily been deleted.

Top

22. Backups and Preservation

Halo is designed to preserve voice memories, but no digital service can guarantee against every possible hardware, software, network, security, or operational failure.

Halo may use backups and recovery systems as part of its operations.

You should retain original copies of irreplaceable recordings when reasonably possible.

Halo should not be treated as the only copy of source material that you cannot replace.

Top

23. Account or Halo Closure

Users may have options to leave a Halo, close an account, or delete content according to their permissions and the features available.

Keepers may have additional responsibilities when managing or closing a Halo.

The exact effect of:

  • deleting an account;
  • leaving a Halo;
  • removing a member;
  • deleting a Halo;
  • transferring Keeper status; and
  • deleting shared voice memories

will depend on Halo's applicable product rules.

The final deletion/ownership rules should be inserted here once those product rules are locked.

Top

24. Intellectual Property

Halo of Voices, including its software, design, visual presentation, trademarks, branding, text, graphics, and other materials provided by Halo, is owned by Halo or its licensors and is protected by applicable intellectual-property laws.

These Terms do not grant you ownership of Halo's software, branding, or intellectual property.

You may use the service only as permitted by these Terms.

Top

25. Feedback

If you voluntarily provide ideas, suggestions, or feedback about Halo, you allow us to use that feedback to improve or develop Halo without an obligation to compensate you.

This does not give Halo ownership of your voice memories or other private Halo content.

Top

26. Suspension and Termination

We may suspend or terminate access to Halo when reasonably necessary because of:

  • material violation of these Terms;
  • unlawful activity;
  • fraud or abuse;
  • threats to users or the service;
  • unauthorized access;
  • nonpayment of applicable membership charges;
  • legal requirements; or
  • circumstances where continued access would create material risk.

Where appropriate and legally permitted, we may provide notice or an opportunity to resolve the issue.

Top

27. Disclaimers

Halo is provided on an “as available” and “as is” basis to the extent permitted by law.

We do not promise that Halo will always be uninterrupted, error-free, or compatible with every device or browser.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

Top

28. Limitation of Liability

To the fullest extent permitted by applicable law, Halo of Voices and its owners, affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of Halo.

Any additional limitation on Halo's aggregate liability should be finalized with legal counsel before commercial launch.

Nothing in these Terms limits liability where doing so would be prohibited by law.

Top

29. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, or expenses resulting from your unlawful use of Halo, your material violation of these Terms, or content you submit without the necessary rights or permissions.

The final scope and wording of this provision should be reviewed by legal counsel before commercial launch.

Top

30. Governing Law and Disputes

These Terms will be governed by the laws of [State to be determined], without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any final provisions concerning:

  • venue;
  • arbitration;
  • class-action waivers;
  • informal dispute resolution; or
  • other dispute procedures

should be determined and reviewed before commercial launch.

Do not publish an arbitration clause simply because other technology companies use one. That is a business/legal decision we should make deliberately.

Top

31. Changes to These Terms

We may update these Terms as Halo evolves.

If changes are material, we will provide notice when required by applicable law.

Your continued use of Halo after updated Terms become effective may constitute acceptance where permitted by law. Where affirmative consent is legally required, we will request it.
